Fixed duty per document, no value-based scale (Art. 5)
Indonesia's stamp duty can run inside the signature flow
Indonesian stamp duty, bea meterai, is a tax on the document, not a requirement that makes a signature valid. A contract is enforceable without a stamp under Article 1320 of the Civil Code; what it loses is admissibility as court evidence until the duty is paid, which Article 17 of Law No. 10/2020 resolves through late stamping. Because the electronic stamp, Meterai Elektronik, is applied to the PDF itself, the stamp can be placed in the same workflow that collects the signatures: Rp10,000 per document, applied once, positioned by the sender before the envelope goes out.
Charged once for each document (Art. 4)
Digit unique serial carried by each e-Meterai
Administrative sanction when duty is paid late (Art. 18)
What e-Meterai is, and what it is not
Three distinctions decide where the stamp belongs in your process.
A document tax, not a signature
The stamp evidences that duty on the document has been paid. It carries no signer identity, no intent and no approval record. Signing validity is a separate question governed by Law No. 11 of 2008 on Electronic Information and Transactions and, for certified signatures, by a PSrE-licensed provider.
Practically: the stamp field does not replace the signature field, and adding a stamp does not cure a missing signature. Both attach to the same PDF, in that order.
Not a company seal
A company seal represents the organisation and is applied under corporate authority. An e-Meterai is state tax revenue collected on a document and cannot be used to authenticate the company, the signatory or the counterparty.
A workflow that needs both keeps them as separate artefacts on the page: seal image for representation, stamp for duty, signature for intent.
A single-use electronic stamp
Law No. 10/2020 Article 12(2)(b) makes Meterai Elektronik one of the payment instruments, and Article 14 requires it to carry a unique code and specified particulars. In practice each electronic stamp holds a 22-digit alphanumeric serial and is bound to one document, so a stamp consumed on a draft cannot be moved to the final file.
That single-use binding is why stamp position has to be fixed before sending, not after: re-generating a PDF after stamping means buying a second stamp.
Stamp portal versus stamping inside the signing workflow
The duty is identical either way. What changes is how many times the file leaves the signing system.
| Separate stamp portal | Inside the signing workflow | |
|---|---|---|
| Steps to a stamped contract | Finish signing, download the PDF, sign in to the stamp portal, allocate a stamp, place it, download again, redistribute | Add the e-Meterai field to the agreement, choose the file and stamp position, the stamp is applied when the envelope is submitted |
| File handoffs | The PDF travels between two systems and a local drive | The stamped PDF stays attached to the same agreement record |
| Batch and API initiation | Manual upload per file | The stamp is carried by the same API or bulk send that creates the agreement |
| Where the stamp record lives | In the tax channel; the contract record sits elsewhere | Stamp reference and signing trail sit on one record |
| Main failure modes | Stamping a superseded draft, wrong page, duplicate upload | Wrong file version selected before send, or stamp count under-provisioned for counterpart copies |
The legal basis, article by article
Law No. 10 of 2020 on Stamp Duty has been in force since 1 January 2021 (Art. 32). Its implementing regulation, PMK No. 78/2024, took effect on 1 November 2024 and replaced PMK 134/PMK.03/2021 and PMK 151/PMK.03/2021.
What is taxed (Art. 3)
Article 3(1) covers documents used to explain a civil matter and documents used as court evidence. Article 3(2)(a) names agreements, statements, certificates and similar letters together with their copies, which is the clause that captures commercial contracts. Article 3(2)(f) lists auction documents, and Article 3(2)(h) leaves room for further categories by government regulation.
Rate and frequency (Art. 4 and Art. 5)
Article 5 sets a single flat rate of Rp10,000 per document. Article 4 charges it once for each document, regardless of contract value, page count or the number of signatures inside it.
When the duty becomes due (Art. 8)
For agreements, duty is due when the document is signed (Art. 8(1)(a)). For documents created abroad, it is due when the document is used in Indonesia (Art. 8(1)(e)). Nothing in Article 8 ties the due date to payment, which is why an unstamped signed contract is a contract with an outstanding tax obligation rather than an invalid one.
Who pays (Art. 9)
Unilateral documents: the recipient pays (Art. 9(1)). Documents made by two or more parties: each party pays on the copy it receives (Art. 9(2)). Documents made abroad and used in Indonesia: the party receiving the benefit pays (Art. 9(5)).
What the electronic stamp records (Art. 12 and Art. 14)
Article 12(2) recognises stamped paper, electronic stamps and other minister-approved forms as payment instruments. Article 14 requires the electronic stamp to carry a unique code and specified particulars, detailed further in the finance minister regulation. That is the basis on which a stamped PDF can be verified: the serial, the signer of the stamp and the document it is bound to.
Late stamping (Art. 17 and Art. 18)
Article 17 permits pemeteraian kemudian, stamping after the fact, for documents whose duty was not paid and for documents submitted as court evidence. Article 18(2) adds a 100% administrative sanction on the unpaid duty, so one late Rp10,000 stamp costs Rp20,000 in total.
Count the stamps before the envelope goes out
Three counting errors account for most rework on Indonesian agreements.
The Rp5 million figure is not a contract threshold
Article 3(2)(g) applies a Rp5,000,000 threshold only to documents stating an amount of money: receipts for money received, or acknowledgements that a debt has been settled. Agreements fall under Article 3(2)(a), which carries no value threshold, so a Rp2,000,000 service contract is dutiable and a Rp200,000,000 one still costs Rp10,000.
Do not scale the stamp with contract value: the rate is flat because Article 5 makes it flat.
Each party's copy is its own document
Article 9(2) makes each party liable on the copy it receives. A two-party agreement signed in counterparts therefore needs two stamps, and a three-party agreement needs three. Where the platform produces one PDF signed by all parties, one stamp on that single document satisfies Article 4.
Decide the counterpart structure before configuring the stamp field, because it determines how many electronic stamps the send consumes.
Foreign-made contracts can still owe duty
A contract drafted and signed outside Indonesia that is then used in Indonesia falls under Article 8(1)(e) for timing and Article 9(5) for liability: the party drawing the benefit pays. Cross-border teams that sign first and localise later should treat the stamp as a step in the Indonesia rollout, not as an afterthought in tax filing.
Where the stamp sits in the signing flow
The sequence below assumes a contract that has already been classified as dutiable.
Start the agreement in the platform
Create the contract from a template or through the API, as you would for any Indonesian agreement. The signature fields, routing order and counterpart copies are defined here.
Add the Indonesian e-Meterai option
Select Indonesian e-Meterai for this agreement. This is the point where the send is flagged as a stamped document rather than a plain eSignature send.
Choose the file and the stamp position
Specify which contract file carries the stamp and where on the page it sits. Placement is fixed at this step, because the stamp binds to that file once applied.
Submit the envelope
The platform applies the electronic stamp when the envelope is submitted. Signers see a stamped document, not a document awaiting a separate tax step.
Verify and retain
Keep the stamped PDF together with the signing audit trail, and record the 22-digit serial against the agreement. That combination is what answers a tax or court query later.
Watch the e-Meterai step in eSign.AI
The demo adds the e-Meterai field to an agreement and shows the stamp being applied at submission.

Common questions
Answers assume an ordinary commercial contract, not a notarial or land deed.
No. Signature validity is governed by Law No. 11 of 2008 as amended, and certified signatures are issued through a PSrE-licensed provider. Stamp duty under Law No. 10/2020 is a separate tax obligation on the document. A contract without a stamp remains valid under Article 1320 of the Civil Code, but it is not accepted as court evidence until the duty is paid.
Scope of this page
This page covers stamp duty on ordinary commercial documents signed through an eSignature workflow. Notarial deeds and land deeds under Article 3(2)(b) and 3(2)(c) follow separate procedures before an authorised official, and institutional stamping obligations under Article 19 to Article 25 apply to designated collectors.
